Terms and Conditions of Use

Banzai offers localized social and interactive features for streaming music and other content, along with products and services that may be added over time. By creating an account or using any Banzai services—including all related features, functionalities, websites, user interfaces, content, and software applications (collectively, the "Banzai Service" or "Service")—or by accessing any music, videos, or other material made available through the Service (the "Content"), you enter into a binding contract with The Record Man bv, a limited liability company incorporated under Belgian law (Business ID: BE0739731797), with its registered office at Bredabaan 696, 2930 Brasschaat, Belgium ("Banzai", "we", "us", or "our").

These Terms, together with the User Guidelines in Section 9 and any additional terms you accept (as described in Section 18), form the full agreement between you and Banzai (collectively, the "Agreements"), excluding any third-party terms. Please review Sections 2 (Changes) and 18 (Entire Agreement) for details on how additional terms may apply and how we may update the Agreements.

Data Protection: We process your personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). For detailed information on how Banzai collects, uses, shares, and protects your personal data, the legal bases for processing, your data subject rights (such as access, rectification, erasure, restriction, portability, and objection), and how to exercise them, please see our Privacy Policy

By using the Service, you confirm that you have read, understood, and agree to be bound by the Agreements. If you do not agree, you must not use the Banzai Service or access any Content.

Eligibility: To use the Service and access Content, you must (1) be at least 18 years old, or between 13 and 17 with the consent of a parent or legal guardian, (2) have the legal capacity to enter into a binding contract and not be prohibited from doing so under applicable law, and (3) reside in Belgium. You must also ensure that all registration information you provide is accurate and complete, and you agree to keep it updated. If you are a minor, your parent or guardian must accept these Terms on your behalf. In some cases, primary account holders on family subscriptions may enable a kids experience; by doing so, they confirm they are the legal guardian and authorize the minor’s use of Banzai.

We may update the Agreements for valid reasons, including to improve or add features, incorporate technological or scientific advancements, make technical adjustments for operability or security, or comply with legal or regulatory requirements (including data protection laws).

When we make material changes, we will notify you appropriately (e.g., via a prominent notice in the Service, email, or by seeking your consent). Your continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you may terminate your account before the new Terms apply (see instructions at https://support.banzai.music/en). If your subscription was obtained through a third party, you must cancel it through that third party.

We may adjust subscription prices to reflect investments in improved features and content, increased licensing or operational costs, or inflation (including adjustments based on the Belgian Consumer Price Index). We will notify you of price changes in advance with reasonable notice. The new price will apply from the start of the next billing period. You accept the change by continuing to use the Service; otherwise, you may cancel before the change takes effect.

We also reserve the right to modify, suspend, or discontinue subscription plans, promotions, or the Service itself in accordance with these Terms (see Section 11).

4.1 Paid Subscriptions

You may purchase a Paid Subscription directly from Banzai by paying a recurring fee (monthly or another interval we disclose) or via a one-time pre-payment for a fixed period ("Pre-Paid Period").

Codes, gift cards, or other offers sold by or on behalf of Banzai may have additional terms that apply alongside these Terms.

4.2 Billing and Cancellation

Unless you have a Pre-Paid Period, Paid Subscriptions automatically renew until cancelled. You will be billed at the start of each billing period, and you authorize us (or the relevant third party) to charge your payment method for the applicable fee.

You may cancel at any time via your Account page or by contacting us: https://support.banzai.music/en. Cancellation takes effect at the end of the current billing period. We do not issue refunds or credits for partial periods unless expressly stated in these Terms.

Subscriptions purchased with a Code end automatically at the end of the specified period or when the balance is insufficient. Third-party subscriptions must be cancelled directly with the third party.

We may terminate a Paid Subscription with at least 14 days’ notice. Unless stated otherwise, you may continue using the Service until the end of the current billing period.

You are responsible for keeping your password secure and confidential. You accept responsibility for all activity under your account. If you suspect unauthorized access, notify us immediately and change your password.

The Banzai Service and Content are owned by Banzai or its licensors. We grant you a limited, non-exclusive, revocable right to access and use the Service and Content for personal, non-commercial purposes only ("Access"). This Access may be terminated by you or us at any time. You may not redistribute or transfer the Service or Content.

The software and Content are licensed, not sold. Banzai and its licensors retain all ownership rights, even after installation on your devices.

All Banzai trademarks, logos, and brand features are the exclusive property of Banzai or its licensors. These Terms do not grant you any rights to use them.

You must comply with the User Guidelines and all applicable laws. Except for the limited rights granted here, no other rights are provided.

Third-party software included in the Service is subject to the respective third-party licenses.

The Service may integrate with or interact with third-party applications, websites, services, or devices ("Third-Party Applications" and "Devices"). These have their own terms and privacy policies. Banzai is not responsible for their content, functionality, compatibility, or any transactions you make with them. Your use of such third-party services is subject to their respective data protection practices.

Users may post, upload, or contribute content such as text, messages, playlists, or other materials ("User Content").

By posting User Content, you represent that (1) you own or have the necessary rights to post it, and (2) it does not violate these Terms, applicable law, or the rights of others, and does not imply any unauthorized endorsement by Banzai or third parties.

Banzai may monitor, review, or remove User Content but has no general obligation to do so. For details on reporting illegal or policy-violating content and appeals, visit https://support.banzai.music/en.

You are solely responsible for your User Content. Banzai does not endorse it. You agree to indemnify Banzai against any claims arising from your User Content, to the extent permitted by law.

Content you post is generally public and may be viewed and shared by others. Exercise caution when sharing. When you post User Content, we process it in accordance with our Privacy Policy and the license granted in Section 8.

In exchange for the rights we grant you, you grant Banzai permission to use your Device’s processor, bandwidth, and storage to operate the Service, deliver advertising, and allow our partners to do the same. Content selection and placement may be influenced by commercial considerations. We process this data on the basis of contract performance, legitimate interests, or consent (as applicable and detailed in the Privacy Policy).

If you submit feedback, ideas, or suggestions ("Feedback"), you agree it is non-confidential and we may use it without restriction or payment.

You grant Banzai a non-exclusive, transferable, sub-licensable, royalty-free, perpetual (or maximum term permitted by law), irrevocable, worldwide license to use, reproduce, distribute, modify, create derivative works from, and make your User Content available in connection with the Service. You retain ownership of your User Content (subject to this license) and, where permitted by law, waive moral rights in it. This license survives termination of the Agreements.

You must comply with the Banzai User Guidelines, all applicable laws, and respect the intellectual property, privacy, and other rights of third parties.

If you believe your copyrighted material is being infringed on the Service, please contact us at licensing@banzai.music.

We strive to keep the Service available but may experience temporary interruptions due to maintenance, updates, technical issues, or legal requirements (including data protection compliance). We may modify or discontinue features or the Service itself for valid reasons (such as security, technical improvements, or regulatory compliance), with notice where reasonably possible and without liability except as required by law.

If we permanently discontinue a Pre-Paid Subscription before the end of the Pre-Paid Period, we will refund the unused portion. We have no obligation to maintain, support, or update all Content.

Banzai products and services are subject to applicable export control and sanctions laws. You represent that you are not located in or acting on behalf of any sanctioned country or restricted person and agree to comply with all Trade Control Laws. You must not use, export, or re-export our products or technology in violation of these laws. Banzai may refuse any action that would violate applicable Trade Control Laws.

These Agreements continue until terminated by you or Banzai.

The perpetual license you grant us for User Content survives termination. Upon termination, we will handle your personal data in accordance with the Privacy Policy and applicable law (including GDPR rights such as erasure where applicable).

Banzai may suspend or terminate your access immediately if you breach the Agreements, if we cease providing the Service (with notice where possible), to comply with law, or if we believe your conduct creates material risk or harm.

You may terminate for convenience by closing your account. Banzai may terminate for convenience with one month’s notice.

Sections 7, 8, 9, 11, 13–21, and any other provisions that by their nature should survive, will continue after termination.

To the fullest extent permitted by law, the Banzai Service and Content are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind. We and our licensors disclaim all warranties regarding quality, merchantability, fitness for purpose, non-infringement, and freedom from harmful components.

We do not endorse or take responsibility for third-party applications, User Content, or advertising. No advice from Banzai creates any warranty.

This section does not limit our liability for non-performance of essential obligations to the extent prohibited by law.

Owners of Content and certain distributors (e.g., app stores) are intended third-party beneficiaries of these Terms and may enforce them directly against you.

For users who downloaded our App from the Apple App Store: This Agreement is solely between you and Banzai. Apple has no responsibility for the Service, support, warranties, or claims related to it. Apple is a third-party beneficiary of this Agreement and may enforce it against you.

These Agreements (including incorporated policies and additional terms) represent the entire understanding between you and Banzai and supersede prior agreements. In case of conflict between these Terms and additional terms, the additional terms prevail for the relevant service.

Banzai may assign or transfer the Agreements or any rights/obligations under them. You may not assign, transfer, or sublicense your rights without our consent.

You agree to indemnify and hold Banzai harmless from all claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your User Content, your use of the Service, or your violation of any law or third-party rights.

These Agreements are governed by Belgian law (with mandatory consumer protections applying). Any disputes shall be resolved exclusively in the courts of Belgium. This does not affect your rights under mandatory consumer protection or GDPR provisions in your jurisdiction.
